Terms of Service

These terms govern your access to the ProofBinder website and the ProofBinder Intelligence platform. By creating an account or using the service, you agree to them.

1. The service

ProofBinder Intelligence provides analytics derived from public U.S. Government procurement data — including federal award, entity, and pricing information — together with tools to track, benchmark, and report on that data. The service is operated by ProofBinder Public, LLC, an operating company of The Clemenza Group.

2. Accounts and eligibility

You must provide an accurate email address and are responsible for activity under your account. Access is authenticated by a passwordless magic link. You must be authorized to act on behalf of any organization you associate with your account, and you may not share access outside the seats included in your plan.

3. Free trial

New accounts may receive a 14-day free trial of paid features. No payment card is required to begin a trial. Trial access ends automatically after 14 days unless you start a paid subscription; we do not auto-charge you at the end of a trial. Trial usage limits apply and are described in the platform.

4. Subscriptions, billing, and cancellation

  • Paid plans are billed in advance on a monthly or annual basis through Stripe, and renew automatically for the same term until canceled.
  • You can cancel at any time from the billing portal. Cancellation stops future renewals; access continues through the end of the paid period already billed.
  • Except where required by law, payments are non-refundable, and partial periods are not prorated on cancellation.
  • We may change plan pricing on renewal with prior notice to the email on file.

5. Acceptable use

You agree not to:

  • Resell, sublicense, or redistribute the data or reports except as permitted by your plan.
  • Scrape, bulk-export, or reverse-engineer the platform beyond the export features provided.
  • Use the service to violate any law or the terms of any government system.
  • Interfere with the security or integrity of the service or other accounts.

6. Data accuracy and no professional advice

The platform’s analytics are derived from public data sources, including USAspending.gov, SAM.gov, and GSA systems. That source data may be delayed, incomplete, or contain reporting errors, and our benchmarks, scores, and recommendations are statistical estimates.

ProofBinder output is provided for informational purposes only. It is not bidding, pricing, legal, accounting, or investment advice, and it is not a guarantee of any procurement outcome. You are responsible for independently verifying any figure before you rely on it in a proposal, price, or filing.

7. Intellectual property

The ProofBinder methodology, software, report formats, and derived analytics are our intellectual property. Underlying public government records are not owned by us. Reports you generate are licensed to you for your internal business use.

8. Warranty disclaimer

The service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service or its data will be uninterrupted, error-free, or accurate.

9. Limitation of liability

To the fullest extent permitted by law, ProofBinder will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost business, arising from your use of the service. Our total liability for any claim is limited to the amount you paid us in the twelve months preceding the claim.

10. Termination

You may stop using the service at any time. We may suspend or terminate access for breach of these terms or misuse of the service. On termination, your right to use the service ends; sections that by their nature should survive will survive.

11. Governing law and changes

These terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. We may update these terms and will revise the “last updated” date; material changes will be communicated to active account holders. Questions: office@proofbinderusa.com.
